1. Agreement to Terms

By accessing our website (www.vectrion.ai), submitting an inquiry, booking a call, or engaging Vectrion AI's services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not use our website or services.


2. About Vectrion AI

Vectrion AI is an AI-powered revenue operations platform for HVAC contractors, operated by Vectrion AI, LLC ("Vectrion," "we," "us," or "our"). We provide done-for-you services including AI-driven lead response, intake automation, follow-up sequences, and pipeline management.


3. Services

3.1 Service Description

Vectrion AI provides the following services to clients under a separate signed service agreement: - AI-powered lead response and intake (phone, SMS, web) - Automated follow-up sequences for unsold estimates - Live pipeline dashboard and reporting - Implementation, configuration, and ongoing support

3.2 Service Agreement Controls

These Terms apply to your general use of our website and marketing materials. If you become a paying client, the separately executed Service Agreement between you and Vectrion AI governs the specific terms of service delivery, payment, and obligations. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

3.3 No Guarantee of Results

While Vectrion AI implements best practices and industry-proven methods, we do not guarantee specific revenue outcomes, number of leads, bookings, or revenue generated. Results vary based on market conditions, business operations, responsiveness, and factors outside our control.

Our 90-day performance guarantee, where offered, is subject to the specific terms outlined in your signed Service Agreement and requires Client's full cooperation with onboarding and system requirements.


4. Website Use

4.1 Permitted Use

You may access and use our website for lawful purposes in connection with evaluating or using our services. You agree not to: - Scrape, crawl, or copy content from our website without authorization - Attempt to reverse-engineer, decompile, or extract proprietary information - Use our website to transmit malware, spam, or harmful content - Impersonate Vectrion AI or its personnel - Use our website in violation of any applicable law

4.2 Intellectual Property

All content on our website — including text, graphics, logos, software, and proprietary methodologies — is owned by Vectrion AI or its licensors and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property without express written permission.

4.3 Submissions

Any information, ideas, feedback, or materials you submit to us become our property and may be used without restriction or compensation to you, except as governed by our Privacy Policy or a signed Service Agreement.


5. Communications and Outreach

By submitting your contact information through any form on our website, you consent to receive communications from Vectrion AI, including via email, SMS, and phone. You may opt out at any time.

5.2 Business Contact Outreach

Vectrion AI may contact business owners and operators via email, SMS, and voicemail based on publicly available information. This outreach is conducted in compliance with CAN-SPAM, TCPA, and other applicable laws. Recipients may opt out at any time.

5.3 Recording

Strategy calls and demo calls may be recorded for quality, training, and service improvement purposes. By participating in a scheduled call with Vectrion AI, you consent to recording. Where applicable jurisdiction requires two-party consent, the call recording disclosure is announced at the start of the call.

5.4 SMS Messaging Program (End-Customer Opt-In)

Vectrion AI operates an SMS messaging program for the customers of our HVAC contractor clients. End customers opt in via our SMS Opt-In Page at https://www.vectrion.ai/sms-opt-in or via our HVAC client's own intake form, with consent records retained per our Privacy Policy.

5.5 AI-Generated Communications Disclosure

Some communications you receive from Vectrion AI — including SMS messages, emails, and voice calls — may be generated and delivered by artificial intelligence. Where reasonably practicable, you may request a human representative by replying to a message or asking on a call. By engaging with Vectrion AI services or accepting messages from us, you acknowledge that some communications may be AI-generated.

5.6 TCPA Compliance and Calling Restrictions

Vectrion AI complies with the Telephone Consumer Protection Act (TCPA) and applicable state laws. Automated outbound communications are restricted to between 8:00 a.m. and 9:00 p.m. in the recipient's local time. We honor all opt-out requests within ten (10) business days. We scrub outbound contact lists against the National Do Not Call Registry.


6. Payment and Billing (For Clients)

Payment terms, billing cycles, late fees, and refund policies are governed by your signed Service Agreement. General terms:


7. Confidentiality

Any non-public information shared between the parties during a business relationship — including business strategies, operational data, prospect lists, and performance metrics — is confidential and may not be disclosed to third parties without prior written consent. This obligation survives termination of any service engagement.


8. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: - Our website will be uninterrupted, error-free, or free of harmful components - Any results, leads, or revenue will be achieved through our services - Third-party platforms integrated with our services will operate without interruption


9. Limitation of Liability

You agree to indemnify, defend, and hold harmless Vectrion AI, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: - Your use of our website or services - Your violation of these Terms - Your violation of any applicable law or third-party right - Any information you provide to us that is inaccurate or misleading


11. Term and Termination

11.1 Website Access

We reserve the right to suspend or terminate your access to our website at any time, without notice, for any reason, including violation of these Terms.

11.2 Service Engagements

Termination of paid service engagements is governed by your signed Service Agreement. General terms: - Initial term: 6 months from onboarding completion date - Post-initial term: Month-to-month unless terminated by either party with 30 days' written notice - Termination for cause: Either party may terminate immediately for material breach that remains uncured for 10 business days after written notice

11.3 Effect of Termination

Upon termination of a service engagement: access to proprietary Vectrion AI systems is revoked, all unpaid fees become immediately due, and Client retains ownership of its own data subject to Section 12.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal claim, you agree to contact us at legal@vectrionai.com and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. You waive any right to a jury trial or class action. Arbitration shall take place in Wyoming.

13.3 Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or confidential information without first pursuing arbitration.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
